The Director of Contracts provides corporate legal services to the National Trust in soliciting, negotiating, drafting, processing, administering, and enforcing contracts, both directly through contracts managed through the Law Divisions Contracts Office, and indirectly through the provision of advice and assistance to those program managers who have primary responsibility for establishing and maintaining contractual relationships.  The Director of Contracts may also provide other general legal services to the National Trust as required.

DUTIES

The Director of Contracts oversees and administers the National Trusts contracts program.  Under current National Trust policies, procurement or income-producing contracts valued at $50,000 or more are administered through the Contracts Office.  Contracts valued at less than $50,000 may be administered by program offices, but the Contracts Office provides advice and assistance for those contracts on an as-needed basis.  Consequently, the duties of the Director of Contracts include the following:

 In consultation with the applicable program office, draft, negotiate, review, and/or revise proposed procurement and income-generating contracts. 
 Prepare and administer requests for proposals and other competitive selection processes for procurement transactions, and/or provide guidance and assistance to program staff carrying out competitive selection processes. 
 Provide advice, assistance, and training to National Trust staff to ensure compliance with National Trust procurement policies, applicable laws and regulations, and funding guidelines.
 Ensure compliance with any necessary internal concurrence process for contracts as may be required by National Trust policy prior to signature by the National Trust.
 Provide advice and assistance to program staff on how to resolve performance issues and contract disputes.
 Working with other staff members of the Law Division, address and resolve contract disputes and enforcement actions.  If necessary, work with the General Counsels office and outside counsel to defend the National Trust from adverse claims by contractors.
 Maintain a central archive of electronic and hard-copy contract records.
 Supervise the contract-related work of the Administrative & Contracts Assistant.


QUALIFICATIONS: 

 Law Degree and member in good standing of the D.C. bar or a state bar (and eligible to waive into D.C.); total years of professional experience must include not less than four years experience in the practice of law, with significant experience in negotiating, drafting, and administering contracts; additional years professional experience is preferred.
 Prior experience managing and directing contracts for a non-profit corporation preferred; Experience with construction contracts, and specifically AIA contracting forms is preferred.
 Familiarity with regulations applicable to state and federal grants to non-profit corporations preferred.  Experience with state and federal government contracts is a plus.
 Advanced analytical and problem solving skills, including issue identification and prioritization.
 Advanced project-management, and client-management skills. Ability to achieve results with only general supervision.
 Proven ability to collaborate across divisions to implement processes and achieve results. 
 Demonstrated  success in managing key internal and external stakeholders and relationships required; some supervisory experience preferred.
 Ability to prioritize, multi-task efficiently and respond to a high volume of ongoing requests and meet deadlines in a timely fashion, with the ability to adapt and be flexible in a dynamic work environment.
 Attention to detail and excellent organizational skills are essential.
 Excellent verbal and written communication skills.
 Proven ability to continually develop skills related to use of rapidly changing technology and communications best practices.
 Demonstrated success in outreach to and engagement of  culturally diverse vendors a plus.
 Advanced knowledge of Microsoft Word and Excel required. Familiarity with other software, including databases, a plus.
